Oprativ Terms of Service
Effective: 1 August 2026 · Revolve AI Ltd (“we”, “us”), Company No. 17244604, registered office 71–75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom, trading as “Oprativ”.
1. The service.
Oprativ is desktop software (with browser and hosted options arriving through launch) that organises your business information on your own systems and provides AI-assisted preparation of business work, subject to your approval of consequential actions. These terms govern your subscription and use.
2. Your account and licence.
A subscription grants a personal, non-transferable licence for your business to install and use Oprativ per your plan, on devices you control, for the paid period. Your account — the email address you bought with — identifies your subscription; keep access to it secure, and don't share it. We may revoke a licence obtained or used fraudulently.
3. Payments, billing, taxes.
Purchases are processed by Paddle (Paddle.com Market Ltd or its affiliates), our merchant of record. Paddle is the seller of record for the transaction; Paddle's checkout terms apply to payment processing. The price shown at checkout is the total you pay, with no surprise add-ons. Subscriptions renew monthly until cancelled. Cancel any time; access continues to the end of the paid period.
4. Billing, cancellation and refunds.
The 14-day guarantee. Your first payment is covered by a 14-day guarantee. If Oprativ isn't for you, tell us within 14 days of your first purchase and we'll refund you. Because your workforce starts working the moment you sign in — using the AI work included in your plan — your refund reflects what's been used: if you've used 10% or less of your included work, you get a full refund, no questions asked. Above that, we refund the unused share, calculated from the same “Included work” meter you see in the app. Renewals aren't refundable; you can cancel at any time and keep access until the end of the period you've paid for. Top-ups follow the same rule: the unused part is refundable within 14 days. One guarantee refund per customer. We may refuse refunds where we see abuse or fraud. Payments and refunds are processed by Paddle, our Merchant of Record; approved refunds return to your original payment method within 14 days. To cancel or request a refund, email support@oprativ.ai or use the link in your Paddle receipt — either works. Full detail in our Billing & Refund Policy, which forms part of these terms. Nothing here limits your statutory rights as a consumer, including your right to cancel within 14 days under the Consumer Contracts Regulations 2013 and equivalent laws; where those rights are greater, they apply.
5. Your data and content.
Your business data processed by the product remains yours and remains on your systems (or your designated hosted space). We claim no rights over it. You are responsible for the lawfulness of the data you process with Oprativ and for maintaining backups using the product's backup features or your own.
6. AI outputs — the honest clause.
Oprativ uses artificial-intelligence models to prepare drafts, summaries and suggestions. AI outputs may be incomplete or wrong. The product is designed so that you review and approve consequential actions; you are responsible for what you approve. Oprativ is not a substitute for professional (legal, accounting, tax) advice.
7. Acceptable use.
Don't use Oprativ to break the law, infringe others' rights, send spam, or attempt to circumvent the product's safety architecture, licensing, or usage allowances. Don't reverse-engineer except where law expressly permits. Allowances are per-subscription and subject to fair use; we may throttle abusive automated consumption after notice.
8. Third-party services.
If you connect third-party tools (email, accounting, storage, AI providers — including keys you bring), their terms govern those services. Connections are under your control; we're not responsible for third-party services' acts, omissions or outages.
9. Availability and updates.
Desktop software runs on your machine; hosted and account features are provided with reasonable skill and care but without uptime guarantees at this stage. We ship signed updates and may require critical security updates for continued hosted use.
9a. Founding-month allowance.
Plans in the founding cohort include a promotional uplift to the amount of AI work included in the first billing period only. It is applied automatically when your plan starts, it is not a permanent feature of the plan, and it does not carry over: from the second billing period onward your plan includes the standard amount of AI work for its tier. We tell you inside the app before the uplift ends. The uplift is promotional and may be withdrawn for future customers at any time; it is never withdrawn from a plan it has already started on.
10. Early access (founding period).
Oprativ is provided as early-access (“founding”) software from August 2026 through the full public launch in September 2026, with founding access invited from the waitlist. During early access, features may change, arrive, or be withdrawn, and availability may be interrupted as we ship. Billing is unchanged: cancel any time and keep the period you paid for, and your first payment is covered by the 14-day guarantee (see clause 4 and the Billing & Refund Policy). By joining early access you accept that the software is still maturing.
11. Intellectual property.
We own Oprativ (software, brand, content). You own your data and the business documents you produce with it.
12. Liability.
Nothing excludes liability for fraud, or death/personal injury caused by negligence, or anything else that cannot lawfully be excluded. Otherwise: no liability for indirect or consequential loss, loss of profits, or loss of data (you control backups); our total aggregate liability is capped at the amounts you paid in the 12 months before the claim. The service is provided “as is” beyond the express commitments here.
13. Termination.
You may cancel any time. We may suspend or terminate for material breach (with notice and a chance to remedy where practicable) or legal necessity. On termination your local data remains yours — export is always available in the product.
14. Changes.
We may update these terms; material changes notified by email or in-product at least 14 days ahead. Continued use after the effective date is acceptance.
15. Law and forum.
England and Wales law; courts of England and Wales (consumers keep any mandatory local protections).
